CHAPTER I
1.1. Name:
The “Humboldt Club Bangladesh” (henceforth referred to as the Club) is an organization
of Bangladeshi ex-scholars of the Alexander von Humboldt Foundation of the Federal
Republic of Germany.
1.2. Objectives of the Club:
(i) To provide a forum for ex-Scholars from Bangladesh to meet together, exchange
ideas and share their experiences of the Federal Republic of Germany.
(ii) To promote academic and cultural relations between the Federal Republic of
Germany and Bangladesh through meetings, seminars and exchange of visits etc.
(iii) To help ex-Scholars in obtaining various kinds of supports from the Alexander
von Humboldt Foundation for their academic and research pursuits in Bangladesh.
(iv) To receive dignitaries from the Federal Republic of Germany in Bangladesh and
provide them the necessary exposure to Bangladeshi scientists and educationists
by organizing lectures by such dignitaries and meetings, etc. (v) To draw attention
of Bangladeshi academicians and research workers to the Humboldt Foundation and
its activities, to encourage them to apply for the Humboldt scholarships and to
give them the necessary guidance and help for this purpose.
(vi) To provide necessary help and guidance to Humboldt Scholars proceeding to the
Federal Republic of Germany for the first time.
((vii) To maintain close liaison with (a) the Embassy of the Federal Republic of
Germany in Bangladesh, (b) the German Academic Exchange Service (DAAD), and (c)
the German Alumni Association of Bangladesh and international Networking of Humboldt
Fellows of different disciplines.
1.3. Membership:
(i) Ex-Humboldt Scholars from Bangladesh can become members of the Club by paying
an annual subscription of Tk.100/=. They can become life-member by paying a sum
of Tk.1000/= at a time. The members must sign a declaration confirming their belief
in the objectives of the Club.
((ii) The Club may confer honorary membership to Bangladeshi and German dignitaries.
1.4. Patrons:
The Ambassador of the Federal Republic of Germany to Bangladesh will be the chief
patron of the Club.
1.5. Fund:
The fund of the Club will constitute of the following:
(i) subscription from the members,
(ii) donations,
((iii) income from specialized activities of the Club, and (iv) others.
CHAPTER II FUNCTIONING.
2.1. The head office of the Club will be in Dhaka.
2.2. The working year of the Club will be from 1st January to 31st December.
2.3. The functions of the Club will be conducted by two bodies:
(a) the General Council, and
(b) the Executive Committee.
2.4. The General Council.
(i) All life members, all honorary members and all members who have cleared their
annual subscription on or before the day of the annual meeting of the General Council
will be members of the General Council. (ii) The supreme power of the Club will
lie with the General Council.
(iii) There will be an annual meeting of the General Council in December every year.
There should be at least one more meeting of the General Council every year.
(iv) Presence of one-fifth (iv) Presence of one-fifth of the total members of the
Club will be necessary for quorum in the meeting of the General Council.
2.5. Functions of the General Council:
The General Council (i) will decide the principles of the Club.
(ii) Will elect the Executive Committee.
(iii) Can amend any clause of the constitution of the Club, with the approval of
at least two-third of the members present in the annual meeting of the General Council.
A proposal for such an amendment should be submitted in writing by a member to the
General Secretary of the Club at least 3 months before the annual meeting.
(iv) Will approve the annual budget of the Club,
(v) Will consider the audited annual financial account of the Club submitted by
the Treasurer,
(vi) Will consider any proposal by a member about the functions of the Club,
(vii) An emergency meeting (vii) An emergency meeting of the General Council can
be requisitioned by at least one-fifth of the total members of the Club by applying
in writing to the President of the Club. The General Secretary will call such meetings
within one month of the date of application with the approval of the President.
2.6 The Executive Committee
(i) This committee will consist of the following office-bearers:

(ii) The General Council will elect the Executive Committee for a period of two
years.
(iii) Presence of one-third of the total (iii) Presence of one-third of the total
members will be needed for quorum in the meetings of the Executive Committee.
2.7 Functions of the Executive Committee
The Executive Committee (i) Will conduct and execute all the activities of the Club
and will be responsible to the General Council for the proper function of the Club.
(ii) Will consider the draft budget for the subsequent working year and place it
for approval of the General Council in its annual meeting.
(iii) Will consider the annual report of the General Secretary, and after making
necessary amendments, place it for approval of the General Council in its annual
meeting.
(iv) Will be responsible for implementing the decisions of the General Council.
(v) Will decide the activities of the Club according to the guiding principles laid
down in the constitution (Clause 1.2). (vi) Is responsible for maintaining liaison
with
(a) the Alexander von Humboldt Foundation,
(b) the Embassy of the Federal Republic of Germany in Bangladesh,
(c) the German Academic Exchange Service (DAAD),
(d) the German Alumni Association in Bangladesh, and
(e) Humboldt Clubs in other countries.
(vii) Will conduct all expenses of the Club according to the budget approved by
the General Council. In exceptional cases, it can authorize spending beyond the
budget, if approved by 50% of the total members of the Committee, with the approval
of the President.
(viii) Can spend any money obtained as donation or grant from any source for a specific
purpose, for that purpose only. This will be reported to the next meeting of the
General Council for approval.
(ix) Will appoint an auditor for auditing the annual accounts of the Club.
(x) Is empowered to debar, suspend, and expel any member of the Club found to indulge
in activities contrary to the interest of the Club.
(xi) Is empowered to co-opt a substitute for any office-bearer found absent in two
successive meetings of the Executive Committee without prior intimation to the President.
(xii) At least two meetings of the Executive Committee should be held in a working
year.
(xiii) Three members of the Executive Committee can re(xiii) Three members of the

to the President. The General Secretary, with the approval of the President, will
call the emergency meeting within 7 days of the date of application.
2.8. Responsibilities of the Members of the Executive Committee

(i) Will preside over the General Council and the Executive Committee meetings.
(ii) Will direct the General Secretary to call meetings of the General Council and
the Executive Committee.
(iii) Will take decisions under exceptional circumstan(iii) Will take decisions

report to the next meeting of the Executive Committee for approval.
2.8.2. The Vice President
(i) Will preside over the General Council and the Executive Committee meetings in

2.5.1. The Treasurer
(i) Will keep the accounts of the Club. (ii) Will operate the bank account of the
Club jointly with the General Secretary.

by the Executive Committee, will place it before the General Council in its annual
meeting.
2.5.1. The General Secretary
(i) Will carry out the day-to-day activities of the Club under the supervision of
the President. (ii) Will call meetings of the Executive Committee and the General
Council with the approval of the President.
(iii) Will carry out all correspondences of the Club.
(iv) Will implement all decisions of the Executive Committee and the general Council.
(v) Will keep the minutes of all meetings, seminars, etc.
(vi) Will prepare the annual report of the Club, and after approval of the Executive
Committee, will place it before the General Council in its annual meeting.
(vii) Will operate the bank account of the Club jointly with the Treasurer.
(viii) Can keep an advance of Tk. 200.00 (Taka two hundred only) to meet day–to-day
expenses.

2.5.2. The Joint Secretary
(i) Will assist the General Secretary in all activities of the Club. (ii) Will carry
out the duties of the General secretary during latter’s absence.

2.5.1. The Members
(i) Will advise and guide the Executive Committee in the execution of its activities.
(ii) Will carry out any duty assigned by the President or the Executive Committee

CHAPTER III ELECTION
The election of the Executive Committee will be held in alternate annual meetings
of the General Council by general consensus.
